This End User License Agreement (“EULA”) governs your access to and use of HighwayTMS (the “Service”), a browser-based software-as-a-service product provided by Highway TMS. HighwayTMS is accessed through the web — there is no separately distributed software to install. This EULA supplements, and does not replace, the Terms of Service; if the two conflict, the Terms of Service control. The EULA is accepted together with the Terms of Service: the person who sets up the company workspace accepts both at account setup, and each user an Admin adds accepts both at first sign-in. The Admin who adds users acts for the company, which is bound by these terms and responsible for those users.
1. License to Use the Service
Subject to these terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service through a supported web browser, solely for your company’s internal business purposes, and only while your company’s account is in good standing.
2. Restrictions
Except as the law does not allow us to restrict, you may not:
- copy, modify, distribute, sell, rent, lease, or create derivative works of the Service;
- reverse engineer or attempt to extract the Service’s source code;
- circumvent security, authentication, tenant isolation, or role-based access controls;
- access another company’s workspace or data;
- scrape the Service or use it through abusive automated means; or
- use the Service to build or benchmark a competing product.
The Acceptable Use Policy describes prohibited conduct in more detail and applies to all use of the Service.
3. Ownership
We own the Service, including its software, design, and branding. This EULA grants a license only — no ownership or other rights transfer to you. All rights not expressly granted are reserved.
4. Customer & User Content
Your company retains ownership of the data and documents it submits (“Customer Data”). The limited license your company grants us to process that data — solely to operate and support the Service — is described in the Terms of Service and the Privacy Policy.
5. Account Responsibilities
You are responsible for your account credentials and for all activity under your account. Do not share accounts between people, and notify us promptly at support@highwaytms.com if you suspect unauthorized access.
6. Updates
Because the Service is hosted, we may update it at any time — including adding, changing, or removing features — and those updates apply automatically. We aim to improve the Service with each change, not to remove core functionality without notice.
7. Third-Party Components
The Service includes and depends on third-party software and services (including open-source components, Supabase, Vercel, and Stripe). Those components are governed by their own licenses and terms, which this EULA does not override.
8. Termination
This EULA is effective until terminated. It ends automatically if you breach it, and the license above ends when your access to the Service ends. You may stop using the Service at any time. Provisions about ownership, restrictions, disclaimers, and liability survive termination.
9. Disclaimers & Limitation of Liability
The Service is provided “as is” and “as available,” with the disclaimers and liability limits stated in the Terms of Service, which apply equally to this EULA. Subscription billing, renewal, and refunds are covered by the Billing, Renewal & Refund Terms.
10. Governing Law
[REQUIRES LEGAL REVIEW] This EULA is governed by the laws of the State of Michigan, consistent with the governing-law and dispute-resolution provisions of the Terms of Service.
